MEDAX FITNESS PTY LTD — TERMS & CONDITIONS

These Terms & Conditions ("Terms") apply to all services provided by Medax Fitness Pty Ltd ABN [Insert ABN] ("Medax Fitness", "we", "our", "us"). By purchasing or engaging in any service, you ("Client", "you", "your") agree to be bound by these Terms.



1. DEFINITIONS


In these Terms:

- "Program" means the coaching block purchased by the Client (12-week, 6-month, 12-month, or any other agreed duration).

- "Coaching Services" means the training programs, nutrition guidance, check-ins, messaging support, and any other services provided by Medax Fitness.

- "Client" means any individual who purchases or engages in Medax Fitness services.

- "App" means the Medax Fitness platform used to deliver programs and track progress.

- "Content" means all programs, written material, video material, written communications, plans, and any intellectual property created or supplied by Medax Fitness.



2. SERVICES


2.1 Medax Fitness provides online coaching, training programs, nutrition guidance, and related digital services.


2.2 All services are based on the information provided by the Client and are intended for general fitness purposes only.


2.3 Medax Fitness does not provide medical advice. Nothing in any program, message, or communication should be interpreted as medical, psychological, or therapeutic advice.


2.4 Medax Fitness reserves the right to modify, adjust, or change the structure of any program or service to better serve the Client's progress.



3. ELIGIBILITY & HEALTH


3.1 By engaging in our services, you confirm that:

- You are at least 18 years of age

- You are medically fit to participate in exercise and nutrition programs

- You have consulted (or will consult) a qualified healthcare professional prior to starting any program if you have any pre-existing medical conditions, injuries, or concerns

- You will disclose any injuries, illnesses, medications, or conditions that may affect your participation, before commencing and throughout the program


3.2 Participation is voluntary and at your own risk.


3.3 You agree to immediately discontinue any exercise or nutrition protocol if you experience pain, discomfort, dizziness, or any concerning symptoms, and to consult a healthcare professional.


3.4 Medax Fitness is not liable for any injury, illness, or health issue arising from participation or failure to disclose relevant medical information.



4. PAYMENTS


4.1 All services must be paid in full or via an agreed payment arrangement before access is granted.


4.2 By completing your purchase, you authorise Medax Fitness to process payment using your selected payment method.


4.3 All prices are listed in Australian Dollars (AUD) unless otherwise specified.


4.4 You are responsible for any bank fees, transaction fees, or currency conversion charges associated with your payment.



5. PAYMENT PLANS & COMMITMENT


5.1 If you select a payment plan, you agree to complete all scheduled payments for the full agreed term.


5.2 Choosing a payment plan is a financial commitment. Stopping the program, failing to participate, or losing interest does not remove your obligation to complete remaining payments.


5.3 If a scheduled payment fails, you authorise Medax Fitness to retry the payment within a reasonable period. Continued payment failure may result in suspension of services until payment is resolved.


5.4 In the event of non-payment exceeding 14 days, Medax Fitness reserves the right to refer the matter to a debt collection agency. The Client will be liable for any costs associated with debt recovery.



6. REFUNDS


6.1 Due to the nature of coaching services and immediate access to programs and intellectual property, all payments are final.


6.2 Refunds will not be provided for:

- Change of mind

- Lack of participation

- Failure to follow the program

- Personal circumstances

- Dissatisfaction with results where the Client has not followed the prescribed program

- Holidays, travel, or seasonal absences

- Decision to discontinue training


6.3 Nothing in this clause excludes your rights under Australian Consumer Law.



7. SUBSCRIPTIONS


7.1 Where applicable, subscriptions renew automatically at the end of each billing cycle.


7.2 It is your responsibility to manage your subscription and cancel prior to the next billing date.


7.3 Medax Fitness is not obligated to provide refunds for subscription renewals that were not cancelled in time.



8. CANCELLATIONS


8.1 Cancelling a subscription prevents future billing only.


8.2 No refunds will be issued for any unused portion of a billing period.


8.3 Access to the Program continues until the end of the paid billing period.



9. EARLY TERMINATION


9.1 If you choose to discontinue coaching before completing the agreed term:

- All payments made are retained

- Any remaining payments under an agreed payment plan may still be due


9.2 Medax Fitness reserves the right to terminate coaching services at our discretion if the Client:

- Breaches these Terms

- Behaves abusively or disrespectfully toward Medax Fitness or its team

- Provides false or misleading information

- Fails to communicate or engage with the program for an extended period


9.3 In the event of termination by Medax Fitness under clause 9.2, no refund will be issued.



10. PAUSING SERVICES


10.1 Maximum Pause Duration: Clients may pause their coaching for a maximum of 4 weeks cumulative during their Program (12-week, 6-month, or 12-month block).


10.2 Pause Requests: All pause requests must be submitted in writing (DM or email) to Medax Fitness before the pause begins. Backdated pauses will not be accepted.


10.3 Valid Reasons for Pause: Legitimate medical issues, injury, surgery, hospitalisation, or major life events (bereavement, family emergencies). Holidays under 2 weeks do not qualify as a pause and the program will continue as normal.


10.4 Auto-Resume: After 4 weeks of pause (cumulative), the Program automatically resumes. The remaining weeks of the Program will count down regardless of whether the Client is actively training.


10.5 File Closure: If the Client remains inactive for 4 weeks after auto-resume (8 weeks total inactivity), the file is closed. No further coaching will be delivered. No refund will be issued for the remaining unused weeks.


10.6 Long-Term Injury Modification: For injuries exceeding 4 weeks, Medax Fitness may offer a modified plan (reduced intensity, nutrition focus, mobility work) to keep the Client progressing. Full pause beyond 4 weeks requires written agreement.


10.7 Payment Obligations: A pause does not cancel or reduce any payment obligations under Clauses 4 and 5.


10.8 Restart After Closure: Clients whose files have been closed may restart at the standard rate in effect at the time of restart. Previous unused weeks are not transferable.



11. RESULTS DISCLAIMER


11.1 Results vary based on effort, consistency, adherence, genetics, lifestyle, sleep, stress, prior training history, and other factors.


11.2 Medax Fitness provides the structure, programming, and guidance. Execution is the Client's responsibility.


11.3 No specific outcomes, weight loss, muscle gain, body composition, or aesthetic results are guaranteed.


11.4 Testimonials, transformations, and case studies featured by Medax Fitness represent individual results and are not a guarantee of similar outcomes for any other Client.



12. CLIENT RESPONSIBILITIES


12.1 You agree to:

- Follow the program as prescribed

- Communicate honestly and consistently

- Complete required check-ins, tracking, and submissions

- Promptly disclose any injuries, illness, or changes in circumstances that may affect participation

- Treat Medax Fitness and its team with respect


12.2 Failure to do so may impact results and does not qualify for refunds or compensation.



13. CONFIDENTIALITY & PRIVACY


13.1 Medax Fitness will treat all personal information, photos, body composition data, and communications as confidential.


13.2 Information is only used to deliver the Coaching Services and improve Client outcomes.


13.3 Photos, testimonials, and progress data will not be publicly shared without the Client's explicit written consent.


13.4 Medax Fitness's full privacy practices are detailed in our Privacy Policy.



14. INTELLECTUAL PROPERTY


14.1 All programs, systems, content, training plans, nutrition plans, written material, video material, frameworks, and methodologies remain the intellectual property of Medax Fitness Pty Ltd.


14.2 You may not copy, reproduce, distribute, share, resell, modify, or use any materials for purposes outside your personal use without express written permission.


14.3 Breach of this clause may result in immediate termination of services without refund and may be subject to legal action.


14.4 Any feedback, suggestions, or improvements provided by the Client become the property of Medax Fitness and may be used without compensation.



15. THIRD-PARTY PLATFORMS & SUPPLEMENTS


15.1 Medax Fitness may recommend third-party products, supplements, apps, or services. We are not responsible for the quality, safety, performance, or outcomes of any third-party product or service.


15.2 Use of third-party products or services is at the Client's own risk and discretion.


15.3 Medax Fitness may receive affiliate commissions from certain recommended products. This does not influence our recommendations, which are based on what we believe is genuinely useful.



16. COMMUNICATION


16.1 The primary methods of communication between Medax Fitness and the Client are:

- The Medax Fitness app

- Direct Instagram message (DM)

- Email

- Scheduled video or phone calls


16.2 Medax Fitness will respond to messages within reasonable business hours and turnaround times. Response times outside business hours and on weekends are not guaranteed.


16.3 You agree not to share private communications or coaching content publicly without written permission.



17. CODE OF CONDUCT


17.1 The Client agrees to engage with Medax Fitness and its team respectfully at all times.


17.2 Medax Fitness reserves the right to immediately terminate services without refund in the event of:

- Verbal or written abuse

- Harassment

- Threats

- Defamation

- Sharing of confidential or proprietary information

- Misrepresentation of services or results publicly



18. LIMITATION OF LIABILITY


18.1 To the maximum extent permitted by law, Medax Fitness Pty Ltd, its directors, employees, and contractors are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from participation in any service.


18.2 This includes but is not limited to: physical injury, emotional distress, financial loss, missed opportunities, or any loss connected to participation in or reliance on Medax Fitness services.


18.3 The total liability of Medax Fitness, if any liability is found, is limited to the total amount paid by the Client for the specific service in question.


18.4 Nothing in these terms excludes your rights under Australian Consumer Law.



19. INDEMNITY


19.1 You agree to indemnify and hold harmless Medax Fitness Pty Ltd, its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

- Your participation in the Coaching Services

- Your breach of these Terms

- Your failure to disclose relevant medical or personal information

- Your misuse of intellectual property

- Any unlawful conduct related to your engagement with Medax Fitness



20. AMENDMENTS


20.1 Medax Fitness reserves the right to update or amend these Terms at any time.


20.2 The most current version of the Terms will be available on the Medax Fitness website.


20.3 Continued use of services after changes constitutes acceptance of the updated Terms.



21. GOVERNING LAW & JURISDICTION


21.1 These Terms are governed by the laws of New South Wales, Australia.


21.2 Any dispute arising under or in connection with these Terms is subject to the exclusive jurisdiction of the courts of New South Wales.



22. DISPUTE RESOLUTION


22.1 In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith discussion via direct communication.


22.2 If the dispute cannot be resolved within 30 days, either party may pursue formal mediation or legal action.



23. SEVERABILITY


23.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.



24. ENTIRE AGREEMENT


24.1 These Terms, along with any specific coaching agreement or invoice, constitute the entire agreement between the Client and Medax Fitness regarding the Coaching Services.


24.2 No prior representations, communications, or agreements override these Terms unless made in writing and signed by both parties.
